Terms of service
Welcome to GeoSeed and Twilley Seed.
PLEASE READ the following Terms and Conditions carefully.
Effective date: October 28, 2026.
These Terms and Conditions govern wholesale accounts, purchases, and use of the GeoSeed and Twilley Seed websites and related services provided by J&P Park Acquisitions, Inc., doing business as GeoSeed and Twilley Seed ("Seller," "we," "us," or "our"). "Customer" or "you" means the purchasing business and its authorized representatives.
By opening an account, submitting an order, or accepting these terms, you agree to the applicable terms and represent that you are authorized to act for your business. Read our separate Tax Information, Privacy Policy & Notice, and Website Accessibility pages alongside these terms.
1. Account Eligibility and Acceptance
GeoSeed and Twilley Seed serve commercial growers and horticultural businesses purchasing seed for commercial production, resale, institutional use, or other professional purposes. Customers include vegetable and fresh-market growers, greenhouse and bedding plant growers, cut-flower growers, nurseries, garden centers, farm markets, and other professional operations. Home gardeners should visit www.parkseed.com.
Provide accurate business, billing, shipping, and contact information, a W-9, and applicable resale or tax-exemption documentation. Keep this information current.
2. Agreement and Priority of Terms
These terms constitute the entire agreement concerning the purchase and sale of our wholesale products and supersede prior communications on those transactions. Additional or inconsistent terms in your purchase orders or other documents are rejected. A written agreement signed by authorized representatives of both parties controls to the extent it expressly modifies these terms. No other amendment is effective unless agreed in writing by both parties.
We may revise these terms for future orders. Revised terms will identify their effective date. Orders already accepted remain governed by the terms accepted for those orders, unless Seller and Customer agree otherwise in a signed writing. Product-specific agreements and required notices may also apply to identified products.
3. Prepayment and Approved Credit
Customers must first apply for an account through our websites or customer service center. Once the account is approved, customers requesting credit must complete a separate business credit application. Account approval does not itself establish credit terms. New accounts are prepaid unless we approve other terms in writing. Full payment must be received and cleared before shipment unless credit is approved.
Submit the completed credit application to jppaar@parkseed.com. Provide a valid email address; all credit-application communications are sent by email. Unless additional information is needed, you should receive a credit decision and, if approved, an approved credit limit within three business days. We will contact you if further information is required.
To be considered for credit, applicants must anticipate at least $2,000 in annual purchases and provide at least three business credit references. This is a credit-eligibility threshold, not a minimum purchase requirement for customers using other payment methods. Approval is not guaranteed. Credit limits are reviewed annually against purchasing history.
Approved credit accounts are generally subject to Net 30 terms. Pay invoices according to the terms stated on each invoice and any different approved written terms. J&P Park Acquisitions, Inc. determines credit approval and credit limits and may review, modify, or withdraw credit based on payment history, purchasing activity, credit information, or other commercially reasonable factors. Credit approval does not obligate us to extend credit for any particular transaction. We may require prepayment or withhold shipment pending cleared payment. Orders may be placed on hold if an account becomes past due or exceeds its approved credit limit. Customers who do not qualify for credit may continue purchasing using alternate payment methods.
Promptly notify us of material changes in ownership, business structure, billing information, financial condition, or contact information. Credit terms are not transferable. Provide accurate purchase order, billing, shipping, and accounts payable information.
The credit application contains separate signed authorizations for Equifax business/commercial credit reports, ongoing credit reviews, and trade-reference inquiries and releases. Those authorizations are obtained through the application; use of our websites alone does not provide them. Any additional authorization or disclosure required for a separate personal consumer credit report will be obtained separately.
4. Payment Charges and Unpaid Orders
Pay in U.S. funds. Make checks payable to J&P Park Acquisitions, Inc. A finance charge of 1.5% per month, equivalent to an 18% annual rate, may apply to unpaid invoices more than 30 days old, subject to applicable legal limits and any different written credit terms. Returned or NSF checks incur a $35 charge to the extent permitted by law. Declined cards may incur a processing fee. Orders held for check payment may be canceled after 15 days; orders with declined cards will be canceled if valid payment is not received within 15 days.
The order form accepts Visa, MasterCard, Discover, American Express, and check or money order. Use the payment options available for the ordering method you choose.
5. Prices Availability and Order Acceptance
All orders are subject to our acceptance. We may accept, reject, cancel, limit, or modify orders, in whole or in part, subject to applicable law and any written commitment. Prices, shipping, and handling are subject to change, subject to applicable law and written pricing commitments. Catalog seed prices apply to the current season. Price changes on submitted orders are communicated by phone, email, or mail. We may correct misprints and errors.
Product availability is not guaranteed. Domestic unavailable items may be backordered and shipped when available unless the backordered portion is canceled under the applicable cancellation terms. No international backorders are accepted. We may discontinue products, limit quantities, or allocate limited inventory in our reasonable business discretion. We have no obligation to accept orders, maintain inventory, extend credit, or continue supplying products.
6. Changes Cancellations and Special Orders
Once order processing begins, orders cannot be changed. Immediate-shipment orders cannot be canceled once processing begins. Accepted custom or specially packed orders may be final and non-cancellable. If we approve cancellation after picking, packing, labeling, or staging begins, a 20% cancellation or restocking charge may apply and may be offset against amounts otherwise owed or credited to you.
Special orders for items outside the applicable brand catalog or exceeding normal inventory requirements require advance payment and a signed waiver agreeing not to cancel or return the seed. No returns are accepted for special orders or opened packets.
7. Standard Shipping and Handling
Free standard shipping applies to orders over $125 with a shipment weight at or below 25 pounds within the continental United States. Orders at or below $125 incur a $13.95 shipping and handling charge for standard parcel shipping. Shipping charges apply to foreign orders and where no mail receptacle is present. Shipping charges also apply to other destinations outside the continental United States and to orders over 25 pounds. We select the most cost-effective shipping option.
Shipping charges are based on the order subtotal before discounts. Express shipping is billed separately. Shipping insurance may be added to shipment and billed to you.
Orders over $500 require a signature on delivery. Wholesale orders exceeding 25 pounds outside South Carolina require freight shipment. Customers are responsible for unloading. Contact us before shipment for freight estimates.
8. Delivery and Risk of Loss
Delivery depends on crop availability and may be affected by crop conditions beyond our control. All seed orders ship FOB shipping point, typically Greenwood, South Carolina. Subject to applicable law and any written agreement, risk of transit loss or damage passes to you when the shipment is delivered to the carrier at the shipping point. Our responsibility for product conformity and any non-excludable legal obligations remains subject to these terms. Delivery and shipment dates are estimates, not guarantees. Contact your account representative about shipment issues and carrier claim requirements.
9. International Orders and Taxes
International orders must be prepaid in U.S. dollars. Orders not paid by card require U.S. dollars drawn on a U.S. bank. No backorders are accepted on international orders. A $250 minimum applies to foreign seed orders, plus a phytosanitary fee. International sales remain subject to applicable import, export, and sanctions restrictions.
Tax is estimated when an order is placed and finalized at shipment. The final tax and total appear in your email or invoice. Sales, use, excise, and similar taxes apply according to the destination, product, and transaction, except where an exemption applies. Provide resale or other exemption documentation where required before ordering to jppaar@parkseed.com and keep it current. If we do not collect tax on a taxable purchase, you may owe use tax to your state. See our Tax Information page, including its state-specific notes.
10. Inspection and Claims
Order Inspection
Inspect your order immediately upon receipt. Report order discrepancies within 10 days after receipt.
Loss & Damage Claims
Report transit loss or damage promptly, within 10 days after receipt, and comply with applicable carrier claim requirements. These deadlines do not restrict rights that cannot lawfully be limited.
Product Complaints
Report germination, variety, or other product conditions that might lead to a complaint promptly following discovery, but in no event later than 30 days after discovery. Failure to inspect or promptly notify Seller may result in waiver of recovery rights and acceptance of the products, to the extent permitted by law. The 10-day deadline for delivery discrepancies and the discovery-based notice provision address different types of claims.
11. Return Authorization and Charges
All sales are final unless we expressly approve a return or another remedy in writing. Obtain authorization before returning products; unauthorized returns will not be refunded. No returns are accepted after 10 days from delivery, or for special orders or opened packets, except where required by law. Approved returns for reasons other than damage or fulfillment error are subject to a 20% restocking fee plus freight charges incurred.
12. Product Descriptions and Seed Treatment
Days to maturity, fruit size, and other growth characteristics vary by location, season, and growing conditions. Catalog descriptions represent averages, not guarantees of results. Treated seed may include approved protectants intended to support seedling growth and reduce infection risks; treatment and disease resistance do not guarantee freedom from seed-borne or soil-borne pathogens. Follow applicable product labels and handling instructions.
Untreated seed availability and identifying catalog codes are stated in the applicable product listing or catalog. Any non-GMO, breeding-method, treatment, or certification statement applies only to the products expressly identified in that listing or catalog. Such statements do not imply organic or untreated status.
13. Warranty and Exclusive Remedies
WE WARRANT THAT SEEDS AND OTHER PRODUCTS ARE LABELED AS REQUIRED BY LAW AND CONFORM, WITHIN RECOGNIZED TOLERANCES, TO THEIR LABEL DESCRIPTIONS.
Except for this warranty, any other express written warranty, and warranties required by law, products are provided AS IS and AS AVAILABLE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. No person is authorized to make an additional warranty on our behalf.
For an established breach of the product warranty, remedies are limited, at our discretion and to the extent permitted by law, to replacement of the affected products or refund of their purchase price. These provisions do not exclude warranties, remedies, or rights that cannot lawfully be excluded.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM A PRODUCT OR TRANSACTION WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE PRODUCTS GIVING RISE TO THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES, LOSS OF BUSINESS, BUSINESS INTERRUPTION, OR CROP LOSS. Your exclusive monetary remedy is recovery of the purchase price of the affected products where legally permitted. These limitations do not apply to liability that cannot lawfully be excluded or limited.
15. California Product Warnings
Where applicable, products carry the following Proposition 65 warning: WARNING: Cancer and Reproductive Harm — www.P65Warnings.ca.gov.
16. Authorized Resale and Intellectual Property
Only approved customers may purchase for resale as authorized dealers. Authorization may be granted, limited, suspended, or revoked. Operate a legitimate approved business, disclose and obtain approval for sales channels, maintain accurate account information, and comply with our policies and applicable law. Without prior written approval, do not resell to unauthorized distributors or wholesalers, sell through undisclosed third-party marketplaces, trans-ship or divert products, or claim authority beyond what we grant. We may monitor channels and review compliance. Violations may result in account suspension or termination, order cancellation, credit revocation, or refusal of future sales.
We and our licensors retain ownership of trademarks, trade names, logos, trade dress, copyrights, catalogs, images, artwork, packaging, descriptions, and marketing materials. Purchasing or reselling products does not transfer these rights. Without written authorization, do not copy, alter, create derivative works from, or misuse these materials; register confusingly similar names, marks, or domains; or use our intellectual property in a misleading, deceptive, or damaging manner. Goodwill from authorized use benefits the rights owner.
Seller does not adopt or assume warranties made by a purchaser on resale.
17. Confidentiality and Indemnification
Confidentiality
Protect our non-public confidential or proprietary information, including non-public pricing, products, customers, strategies, operations, and intellectual property. Use it only for your authorized business relationship with us. Use at least the care you use for similar information of your own, and never less than reasonable care. Ensure employees, agents, and representatives receiving it have appropriate confidentiality obligations. Obligations continue during the relationship and for five years afterward; trade-secret protection continues while the information qualifies under applicable law.
Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Seller, its affiliates, officers, directors, employees, and agents from claims, losses, damages, liabilities, costs, and reasonable attorneys’ fees arising from your breach, resale or marketing of products, legal violations, unauthorized use of our intellectual property, or misuse, alteration, repackaging, or unauthorized modification of products.
18. Compliance and Events Beyond Our Control
Do not sell, transfer, export, or re-export products in violation of applicable sanctions, export controls, or other laws, including transactions with restricted parties or destinations where prohibited. Restrictions change; compliance must be assessed against current requirements rather than a fixed country list.
We are not liable for performance delays or failures caused by events beyond our reasonable control, including severe weather, natural disasters, crop conditions, product shortages, labor disputes, manufacturing or supplier delays, transportation and supply-chain disruptions, governmental action, or shortages of labor, materials, or equipment. We may allocate available products in our reasonable business discretion.
19. Suspension and Termination
We may suspend or terminate your account or business relationship on written notice, subject to law. We may immediately suspend ordering, shipments, or credit for late payment, breach, misleading account information, unauthorized resale, or material credit, legal, compliance, or business risk. On termination, outstanding amounts become immediately due to the extent permitted by law. Obligations intended to continue, including payment, confidentiality, and applicable liability provisions, survive termination.
20. Governing Law Severability and Contacts
These terms are governed by South Carolina law, without regard to conflict-of-law principles. The arbitration and class-action provisions below apply to disputes within their scope. Court proceedings permitted under those provisions, and any separately accepted product-specific agreement, are subject to their applicable jurisdiction requirements.
Invalid provisions will be enforced to the maximum extent permitted by law; remaining provisions continue in effect.

21. Arbitration, Injunctive Relief, and Class-Action Waiver
For this provision, "Company" means J&P Park Acquisitions, Inc., doing business as GeoSeed and Twilley Seed. Disputes arising from purchases and use of our websites or services are subject to binding arbitration under the AAA Consumer Arbitration Rules, except for the court relief described below. Arbitration proceeds on an individual basis.
The arbitration will be conducted in the federal judicial district where you reside. The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of its copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
You will be responsible only for the consumer filing fee required by the AAA Consumer Arbitration Rules, and the Company will pay all other AAA and arbitrator fees. You will not be required to pay the Company's attorneys' fees or costs unless the arbitrator determines that your claim was frivolous under applicable law.
You agree that you shall not have the right to participate as a representative or a member of any class of claimants pertaining to any dispute regardless of whether that dispute must be arbitrated. Arbitration will proceed solely on an individual basis, without class arbitration or claims brought in a purported representative capacity on behalf of others. The arbitrator's authority is limited to disputes between you and the Company alone. No disputes may be joined or consolidated unless agreed to in writing by all parties. No award or decision will have a preclusive effect on issues or claims involving anyone who is not a named party to the arbitration.
If any part of this arbitration and injunctive relief provision is unenforceable, the remaining provisions remain in full force and effect. Separately signed supplier agreements may contain different product-specific dispute provisions; review the agreement required for the affected products.
Seed Arbitration, Conciliation, or Mediation Notices
Consult your state department of agriculture promptly concerning any seed-law arbitration, conciliation, or mediation requirements applicable to a claim. Preserve applicable labels and required notices. Product-specific notices and agreements may contain additional filing or notice requirements.
22. Website Use and Related Policies
Keep account credentials confidential and report unauthorized access promptly. Use our websites lawfully; do not introduce harmful code, interfere with their operation, or infringe others' rights. Third-party sites have their own terms. Our websites are provided as available, subject to rights that cannot lawfully be excluded.
